Terms of Service
Hygio — AI-Powered Facility Hygiene Management Platform

1. Acceptance
By accessing or using Hygio (the "Service"), the customer organization and its authorized users agree to these Terms of Service ("Terms") and our Privacy Policy at https://hygio.app/privacy. If you do not agree, do not use the Service.
These Terms are a legally binding agreement between the customer organization ("Customer") and ICI Tech Teknoloji A.Ş. ("Company", "we", "us", "our"), registered in Turkey. Individual users access the Service on behalf of the Customer.
2. Definitions
Service means the Hygio mobile app, management dashboard, website at https://hygio.app/, and all features. Customer means the organization (facility operator, FM company, cleaning service provider) that has entered into a service agreement with us. Admin User means a Customer employee authorized to manage the dashboard, configure stations, and view reports. Field User (Staff) means a Customer employee who uses the mobile app to complete cleaning tasks and upload photos. Content means photos, task records, AI analysis results, and other data uploaded or generated through the Service. AI Engine means Hygio's proprietary deep learning image processing system.
3. Eligibility and Account Registration
The Service is intended for business customers only, not individual consumers. The Customer must be a legally registered entity. Authorized users must be employees or contractors of the Customer. An account is required to access the Service. The Customer is responsible for all activity under its account.
4. What Hygio Is and Is Not
Hygio IS a facility hygiene management platform that enables photo-based cleaning documentation, AI image analysis, task management, and operational reporting.
Hygio IS NOT:
- A medical device or health monitoring system
- An FDA-approved, CE-marked, or equivalently certified product
- A provider of sterilization, infection control, or clinical hygiene certification
- A third-party sanitary inspection or audit service
- A regulatory compliance guarantee of any kind
AI classification disclaimer: The "Approved (Clean)" / "Rejected (Dirty)" labels generated by Hygio's AI are internal operational quality signals only. They are not third-party inspection certificates, sanitary compliance records, or legally binding hygiene assessments. AI accuracy varies with lighting, camera angle, photo quality, and area type. Hygio does not publish or guarantee a fixed accuracy rate. Customers must not represent Hygio AI scores as certified external audit results.
5. Data Processing — Customer as Data Controller
The Customer is the data controller for all Content uploaded to the Service, including cleaning photos, staff task records, and visitor feedback. We act as the Customer's data processor for this Content.
Customer obligations as data controller: The Customer must inform its employees (field staff and managers) that task completion data, NFC/QR scan logs, and AI-scored performance records are being collected and accessible to management. This obligation exists under applicable data protection law. The Customer must ensure it has a lawful basis for employee performance monitoring. The Customer is responsible for any Content uploaded that inadvertently captures individuals in photographs.
Data Processing Agreement (DPA): By accepting these Terms, the Customer enters into a data processing agreement with us covering Content processing. Customers in the EEA may request a standalone DPA document at app@icitech.com.tr.
6. Employee Monitoring — Customer Responsibilities
Hygio's task tracking and AI scoring features enable monitoring of individual employee cleaning performance. The Customer acknowledges that:
Using these features may constitute employee monitoring under applicable employment and data protection law. The Customer is responsible for complying with all applicable laws regarding employee monitoring, including informing employees, establishing lawful grounds, and implementing proportionate use. We are not responsible for the Customer's compliance with its own employment law obligations. Customers should consult their own legal counsel regarding employee monitoring compliance in their jurisdiction.
7. Photography in Facility Spaces
The Service requires staff to photograph facility areas including bathrooms, toilets, and washrooms. The Customer is responsible for:
Ensuring staff are trained to capture only facility areas and not individuals. Addressing any instance where a person is captured in a photo in accordance with applicable data protection law. Establishing appropriate retention and access policies for photographic evidence. We process photos only as instructed by the Customer to provide the Service.
8. Acceptable Use
Use the Service only for lawful facility hygiene management purposes in accordance with these Terms and applicable law.
9. Prohibited Conduct
The Customer and its users agree not to: use the Service to misrepresent cleaning outcomes or AI scores to regulators, customers, or third parties; upload photos that intentionally capture individuals without lawful basis; reverse engineer or attempt to extract the AI model; use automated tools to scrape or interact with the Service; violate applicable law.
10. Intellectual Property
All Company Content — including the Hygio name, logo, app design, AI engine, question structures, and software — is owned by or licensed to ICI Tech Teknoloji A.Ş. The Customer receives a limited, non-exclusive, non-transferable, revocable licence to use the Service for its own internal business purposes during the term of the service agreement.
The Customer owns its own Content (photos, task records, reports). The Customer grants us a limited licence to process Content solely to provide the Service.
11. Pricing and Payment
Hygio is sold under enterprise pricing that is agreed in individual service agreements. There is no self-serve subscription or fixed public price list. Payment terms are specified in the applicable service agreement. We do not collect payment card details via the platform.
12. Privacy
Customer use is governed by our Privacy Policy at https://hygio.app/privacy. For EEA/UK Customer organizations, our GDPR Privacy Notice at https://hygio.app/privacy/gdpr also applies. Customers must separately comply with their own data protection obligations to their employees and end-users.
13. Availability and Changes
We aim for continuous availability but do not guarantee uninterrupted access. We may update features, AI models, or analytical methods. Material changes to functionality will be communicated with reasonable notice.
14. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided "as is" without warranties including: that AI classifications are always accurate; that the Service will satisfy any regulatory, sanitary, or compliance requirement; or uninterrupted operation.
15. Limitation of Liability
To the maximum extent permitted by applicable Turkish law, ICI Tech Teknoloji A.Ş. shall not be liable for: any regulatory, sanitary, or compliance consequence arising from reliance on Hygio AI results; employment or labor law claims arising from the Customer's use of staff monitoring features; indirect, incidental, special, consequential, or punitive damages; or any damages exceeding the greater of (a) fees paid to us in the twelve months preceding the claim, or (b) ₺10,000.
Nothing limits our liability for gross negligence, fraud, or any liability that cannot be excluded under mandatory Turkish law.
16. Indemnification
The Customer indemnifies ICI Tech Teknoloji A.Ş. against claims arising from: the Customer's failure to comply with employee monitoring laws; the Customer's misrepresentation of Hygio AI results as certified inspections; the Customer's violation of applicable data protection law; unauthorized use of the Service by the Customer's users.
17. Term and Termination
Service access is governed by the applicable service agreement. We may suspend or terminate access for material breach of these Terms or non-payment. On termination, the Customer may request export of its Content within the period specified in the service agreement, after which Content is deleted.
18. Governing Law and Disputes
Governed by the laws of the Republic of Turkey, including the Turkish Code of Obligations and Commercial Code. Disputes subject to Istanbul (Çağlayan) court jurisdiction. EEA and UK enterprise customers retain the right to bring disputes in their local courts in accordance with applicable mandatory law.
19. Changes to These Terms
Material changes notified at least 14 days in advance. Current version at https://hygio.app/terms.
